This document represents the full Terms and Conditions for c0menius B2B clients (museums, galleries, and heritage sites).

Welcome to c0menius (referred to as "COMENIUS", "we", "us", or "our"), a spatial interface for human knowledge operated by SOGLAB LIMITED ("SOGLAB"), a company registered in England and Wales (Company Registration Number: [Insert Company Number]; Registered Office Address: [Insert Registered Office Address]).
These Terms and Conditions ("Terms", "Agreement") govern the acquisition, deployment, and use of the COMENIUS B2B curation platform, including the STUDIO creator platform, the Assets Manager (the "Knowledge Vault"), and the visitor-facing MARKETPLACE directory (collectively, the "Services").
By signing a Pilot Agreement, purchasing a subscription card, or accessing our STUDIO platform, your cultural institution, museum, library, or heritage site (referred to as "Client", "you", or "your") agrees to be bound by these Terms.
1. Definitions and Scope
"STUDIO" refers to COMENIUS’s proprietary, no-code spatial storytelling curation editor used by Client staff to map, author, and deploy augmented reality (AR) narratives and AI-guided routes.
"MARKETPLACE" refers to the global, decentralized WebXR-based directory where visitors discover curated paths, trigger interactive AR overlays, and follow narrative journeys.
"Knowledge Objects" refers to the proprietary multimedia files, texts, historical descriptions, 3D voxel parameters, and metadata uploaded or created by the Client [401, 403].
"Active Artifact Slot" refers to an allocated slot in our hosting infrastructure that permits a single artifact's interactive AR experience to be live and accessible to the public on the Marketplace [380, 381].
"Archived Artifact Slot" refers to an allocated storage space in the Client's Assets Manager allowing the retention of digital assets that are not currently in live public rotation [380, 381].
2. License Grant and Access
Grant of License: Subject to compliance with this Agreement and payment of applicable fees, SOGLAB grants the Client a non-exclusive, non-transferable, revocable, limited-scope license to access and use the STUDIO platform for curation, and to distribute experiences to visitors through the Marketplace [580].
Authorized Users: The Client may grant platform access only to employees or authorized agents ("Authorized Users") up to the seat limit defined in the acquired plan [380]. The Client is responsible for maintaining the confidentiality of credentials.
Client Restrictions: Except as explicitly permitted, the Client shall not:
Decompile, reverse-engineer, or attempt to extract the source code of the WebXR engine or STUDIO editor.
Sublicense, lease, or resell access to the STUDIO platform to third-party institutions.
Use the Services to store or transmit defamatory, infringing, or otherwise unlawful material.
3. Pricing, Subscriptions, and Plan Quotas
SOGLAB offers modular tiers under our Founding Pioneers Program [322, 337]. The features and limits of your specific plan are governed by the following allocations:
A. Entry Card (Closed-Alpha Pilot)
Structure: A one-time, project-based pilot fee of £2,999.00 bound to a 6-month pilot trial process rather than a 1-year contract (equivalent to £499.83 / month over the pilot period) [378, 380].
Inclusions: Fully managed curation and deployment of up to 5 Iconic Artifacts connected by 1 Immersive Learning Journey [378, 379].
Hosting: Experience hosting guaranteed for 6 months (with 99.9% uptime targets) during the pilot period [380].
Deliverables: A comprehensive ROI Analytics Report detailing focused visitor dwell-time, interaction rates, and completion percentages [379].
Upgrade Path: Closed-Alpha members can apply their 30% discount towards their first annual membership (Yearly subscription) of the Growth plan following the pilot's completion [379].
B. Growth Card
Structure:
Monthly Commitment (No Annual Contract): £833.33 / month (equivalent to £10,000.00 / year total annual cost).
Yearly Commitment (Annual Contract with 20% Discount): £666.67 / month (equivalent to £8,000.00 / year total annual cost).
Allocations:
Full STUDIO Access: For up to three (3) curatorial staff (the baseline standard tier) [325, 329].
15 Active Artifact Slots: Up to 15 high-fidelity interactive AR experiences live simultaneously [381].
50 Archived Artifact Slots: Up to 50 assets stored in the Assets Manager ("Knowledge Vault"), ready to be swapped into active slots instantly [381].
1,000,000 AI Audio Characters: Annual character quota for text-to-speech rendering of AI-powered guided tours [381].
Unlimited Exhibition Routes: Design as many narrative paths as required using the active 15 artifacts [381].
Ecosystem Perks: Branded, featured presence on the global COMENIUS Marketplace navigator and year-round priority technical support [381].
C. Pioneer Card
Structure: Custom Institution Licence starting at £35,000.00 / year [559].
Inclusions: Unlimited artifact slots, multi-gallery routing, custom corporate branding on WebXR overlays, and designated structural spatial computing consultancy [559].
4. Overages and Swapping
Slot Swapping: Within the Growth Card, the Client may swap archived and active artifacts dynamically through the STUDIO. Any attempt to activate more than the licensed number of Active Artifact Slots (e.g., more than 15) will require an upgrade to a higher tier or will be blocked by the system interface [381].
AI Audio Quota: If the Client exhausts the 1,000,000 character limit for AI voice rendering prior to the renewal date, additional character packages may be purchased separately at SOGLAB's standard rates. Characters used within the closed-alpha period are subject to pilot limits [381].
5. Intellectual Property (IP) Ownership
COMENIUS Intellectual Property: SOGLAB retains exclusive ownership of all rights, titles, and interests in and to the COMENIUS platform, the STUDIO software, WebXR deployment engines, UI/UX designs, code templates, and general technical infrastructure [580, 584].
Client Intellectual Property: The Client retains sole ownership of all intellectual property rights in and to their uploaded Knowledge Objects (including curatorial texts, high-resolution source photography, proprietary 3D meshes, and historical assets) [401, 584].
Marketing License: The Client grants SOGLAB a limited, royalty-free, worldwide license to use screenshots, video recordings, and public visitor metrics of the deployed museum experiences solely for COMENIUS marketing, conference presentations, and case-study publications [554].
6. Technical Delivery and WebXR Compatibility
Frictionless Delivery: COMENIUS experiences are delivered via browser-compatible WebXR (Web-based Augmented Reality) to eliminate App Store friction [382]. Visitors access content using their own mobile browsers (Bring Your Own Device - "BYOD") via QR code scans [382].
Hardware & Network Constraints: While SOGLAB designs WebXR to operate across standard iOS and Android devices, physical environmental conditions (including variable lighting, glass reflection, and local Wi-Fi/cellular signal strength in old stone galleries) can affect tracking quality [403]. SOGLAB is not responsible for local network bottlenecks or hardware compatibility limitations of visitors' personal devices [403].
7. Physical Safety Disclaimer and Limitation of Liability
This clause constitutes a material baseline of SOGLAB’s operational terms.
Safe Environment Covenant: Because COMENIUS relies on visitors moving through physical spaces while interacting with a digital interface on their smartphones, the Client maintains sole and absolute responsibility for the physical safety, signage, accessibility, and maintenance of their physical galleries and sites [444].
Disclaimer of Physical Liability: SOGLAB LIMITED, its directors, employees, and subcontractors shall under no circumstances be held liable for any bodily injury, personal accident, slip, trip, fall, property damage, or device breakage occurring on the Client's premises while visitors are using, launching, or navigating COMENIUS AR routes [444].
Safety Recommendations: The Client agrees to:
Maintain clear, obstacle-free pathways around AR-designated artifacts [444].
Deploy physical signage advising visitors to remain standing or proceed with care while using the AR interface [444].
Comply with statutory accessibility guidelines (such as the Equality Act 2010 in the UK or comparable EU legislation) to ensure safe navigation [444].
Limitation of Financial Liability: SOGLAB's aggregate liability for all claims arising out of or related to this Agreement, whether in contract, tort, or otherwise, shall be limited to the total fees paid by the Client to SOGLAB in the twelve (12) months preceding the event giving rise to liability.
8. Data Protection and Zero-Image-Transmission Pledge
Both parties shall process personal data in compliance with the General Data Protection Regulation (EU) 2016/679 ("GDPR"), the UK GDPR, and the Data Protection Act 2018 ("DPA 2018") [388].
Zero-Image-Transmission Pledge: SOGLAB guarantees that all camera visual feeds captured by visitor smartphone devices are processed strictly on-device in the local browser cache for SLAM spatial mapping [390]. SOGLAB never records, transmits, or stores visual feeds or physical surroundings to its servers [390].
Role Division: The Client acts as the Data Controller for visitor interaction data collected on-site. SOGLAB acts as the Data Processor. The processing of any personal or telemetry data is governed by our Privacy Policy and our standard Data Processing Addendum (DPA), which is incorporated herein by reference [389].
9. Term, Renewal, and Termination
Subscription Term: Growth Card annual plans remain active for a twelve (12) month term from the activation date and will automatically renew for successive 12-month periods unless either party provides written notice of non-renewal at least thirty (30) days prior to the expiration of the current term [504].
Termination for Cause: Either party may terminate this Agreement with immediate effect if the other party materially breaches these Terms and fails to cure such breach within thirty (30) days of receiving written notice thereof.
Data Retrieval upon Termination: Upon expiration or termination of this Agreement, SOGLAB will maintain the Client's Archived Artifact Slots and Knowledge Objects for a grace period of sixty (60) days, during which the Client may request export of their raw asset metadata. Following this period, SOGLAB reserves the right to securely delete all stored client assets.
10. Governing Law and Jurisdiction
This Agreement and any dispute or claim arising out of or in connection with it (including non-contractual disputes) shall be governed by and construed in accordance with the laws of England and Wales. Both parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any such dispute.
11. Complete Agreement
These Terms, along with your signed Pilot Proposal, order form, and the COMENIUS Privacy Policy, constitute the entire agreement between SOGLAB LIMITED and your institution. No other verbal or written representation shall be binding unless agreed to in writing by an authorized officer of SOGLAB LIMITED.
